Introduction
These Terms of Use and Terms of Sale ("Terms") govern your use of www.coyotetraffic.com (the "Site") and every purchase of products or services from Coyote Traffic ("Coyote Traffic," "we," "us," or "our"), whether ordered through the Site, by quote, by purchase order, by phone, or by email. By accessing the Site, requesting a quote, accepting a quote, or placing an order, you ("you," "Customer," or "Buyer") agree to these Terms. If you are acting on behalf of a company, you represent that you are authorized to bind that company.
If a written quote issued by Coyote Traffic contains terms that conflict with these Terms, the terms of the quote control for that order. Coyote Traffic rejects any additional or different terms in a Customer's purchase order, subcontract, owner or prime-contract flow-down documents, or other forms unless expressly agreed in writing by an officer of Coyote Traffic. We may update these Terms at any time by posting a revised version on the Site. Changes apply to orders accepted after the revised Terms are posted.

General Terms and Conditions
Coyote Traffic reserves all rights not expressly granted in these Terms. We may refuse service, decline or cancel any order before acceptance, or suspend Site access at our discretion. By providing a mobile number, you consent to receive text messages from Coyote Traffic about quotes, orders, shipping, and service, and you may receive occasional marketing messages. Message and data rates may apply. You may opt out at any time by replying "STOP."
Products, Installation, and Site Safety
Coyote Traffic products, including tire-spike and traffic-control systems, are designed to control the direction of vehicle traffic and can damage tires and vehicles by design. Proper selection, installation, signage, operation, and maintenance are essential to safe use. Unless installation by Coyote Traffic is expressly listed on a written quote, Coyote Traffic supplies equipment only, and the Customer and the property owner are solely responsible for:
- installation, anchoring, concrete or asphalt work, electrical power, conduit, wiring, loop detection, and integration with gates or other site controls;
- warning signs, pavement markings, lighting, and notice to drivers, including installation of any warning sign kit supplied with the product;
- training operators, employees, and drivers;
- regular inspection and maintenance, including replacement of springs and other wear components; and
- compliance with all laws, codes, permits, and site or owner requirements applicable to the installation and use of the products.
Where installation by Coyote Traffic is listed on a written quote, Coyote Traffic's responsibility is limited to the work described. The Customer shall inspect and test the system at completion, and installation is accepted upon the Customer's sign-off or the system being placed in service, whichever occurs first. After acceptance, Coyote Traffic has no further responsibility for the installation and is not responsible for damage, failure, or injury resulting from lack of inspection or maintenance, worn springs, modification, repair, or relocation by others, vehicle impact, pavement or subgrade conditions, or changes to site traffic patterns or controls.
Information on the Site, including cut sheets, specifications, and installation instructions, is provided for general guidance. The Customer is responsible for verifying product selection, quantities, and suitability for its site and intended use.
Ownership, License, and Limitations
The Site and all content, software, text, images, drawings, and data on it are owned by Coyote Traffic or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may view and download Site content for the purpose of evaluating, purchasing, installing, and maintaining Coyote Traffic products. You may not otherwise reproduce, modify, distribute, or publicly display Site content without our written permission. You may not use automated means to collect data from the Site, except that general-purpose search engines and non-commercial public archives may do so.
Use at Your Own Risk
Site content is provided for informational purposes. You assume all responsibility for your reliance on it. We do not warrant that the Site will be accurate, complete, current, uninterrupted, or free of errors, viruses, or other harmful components. You accept all risk for anything you download from the Site.
Your Account
If you create an account on the Site, you are responsible for keeping your password confidential and for all activity under your account, and you must notify us immediately of any unauthorized use. You must be at least 18 years old and authorized to purchase on behalf of your organization. We may suspend or close accounts at our discretion.
Links
The Site may link to third-party websites. Links do not imply endorsement, and Coyote Traffic is not responsible for the content, availability, or practices of any third-party site.
Images, Logos, Trademarks, and Copyright
Coyote Traffic names, logos, product names, images, and other marks are the property of Coyote Traffic and may not be used without our express written permission. Requests for permission should be sent to the contact address below.
Quotes, Orders, and Payment
Quotes are valid through the date shown on the quote. An order is accepted only when Coyote Traffic issues a written order acknowledgment. An automated email or order confirmation does not constitute acceptance. We may limit quantities, refuse service, and verify Customer information before accepting an order. Unless a quote states otherwise:
- payment in full is required before Coyote Traffic begins assembly, schedules production, or reserves materials, and lead time is counted from receipt of cleared funds;
- prices are in U.S. dollars and exclude sales tax, permits, and duties, which are the Customer's responsibility (tax-exempt Customers must provide a valid exemption certificate before shipment);
- freight amounts are estimates confirmed at the time of order, delivery is tailgate/curbside, and the Customer must provide equipment and labor to unload;
- title and risk of loss pass to the Customer on delivery to the carrier, and shipping damage or shortages must be noted on the carrier's delivery receipt and concealed damage reported to Coyote Traffic within 48 hours; and
- lead times and ship dates are estimates. Coyote Traffic is not liable for delays caused by material shortages, carriers, or other events beyond its reasonable control, and no late-delivery penalties or liquidated damages apply to Coyote Traffic unless expressly agreed in writing by an officer of Coyote Traffic.
Notification of Claims of Infringement
If you believe content on the Site infringes your copyright, send a notice to the contact address below that includes: your physical or electronic signature; identification of the copyrighted work; identification and location of the allegedly infringing material; your contact information; a statement that you have a good-faith belief the use is not authorized; and a statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the owner.
Disclosure of Information
We may disclose information about you if we believe it is reasonably necessary to investigate complaints, identify persons who may be violating these Terms or infringing the rights of others, comply with law or legal process, or protect the rights, property, or safety of Coyote Traffic, our customers, or others.
Limited Warranty
Frames, housings, spike/blade assemblies, and (for motorized systems) actuators and controllers are covered by Coyote Traffic's standard limited warranty against defects in materials and workmanship. Springs are a consumable wear component and are not covered under warranty. The warranty does not cover damage from vehicles backing over or striking the product, improper installation, installation, modification, or repair by others, snow-plow or grader contact, lack of maintenance, or use outside the product's rated duty. The warranty remedy is repair or replacement of the defective component, at Coyote Traffic's option. Labor, removal, reinstallation, and freight are not included. Renewal kits and parts supplied for systems already in service are provided as is.
Disclaimer of Warranties
EXCEPT FOR THE LIMITED WARRANTY ABOVE, THE SITE AND ALL CONTENT, PRODUCTS, AND SERVICES ARE PROVIDED "AS IS." COYOTE TRAFFIC MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. REPAIR OR REPLACEMENT UNDER THE LIMITED WARRANTY IS THE CUSTOMER'S SOLE AND EXCLUSIVE REMEDY.
Limitation of Liability
COYOTE TRAFFIC'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SITE, THESE TERMS, ANY ORDER, OR ANY PRODUCT OR SERVICE SHALL NOT EXCEED THE AMOUNT PAID FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM. IN NO EVENT SHALL COYOTE TRAFFIC BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING VEHICLE, TIRE, OR CARGO DAMAGE, DOWNTIME, DELAY, LOST PROFITS, OR LIQUIDATED DAMAGES OWED UNDER ANY OTHER CONTRACT, EVEN IF ADVISED OF THEIR POSSIBILITY.
Indemnity
You agree to defend, indemnify, and hold harmless Coyote Traffic and its owners, officers, employees, and affiliates from all claims, losses, damages, and expenses (including reasonable attorneys' fees), including claims for bodily injury, death, and property damage, arising from (a) your breach of these Terms, or (b) the installation, signage, operation, maintenance, modification, or use of Coyote Traffic products by you or anyone other than Coyote Traffic, except to the extent caused by Coyote Traffic's negligence in installation work listed on a written quote, before acceptance.
Returns, Refunds, and Cancellations
All sales are final upon acceptance of a quote or issuance of a purchase order. Orders are custom-assembled and may not be cancelled, reduced, returned, or refunded for any reason. This does not affect warranty repair or replacement under the Limited Warranty above.
Promotions
Promotions and discounts are limited-time offers, may not be combined unless stated, and may be modified or cancelled at Coyote Traffic's discretion.
Miscellaneous
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Exclusive venue for any dispute is in the state or federal courts located in Williamson County, Texas, and you consent to that jurisdiction. Disputes will be resolved on an individual basis, and you waive any right to bring or participate in a class or representative action. If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not use the Site to send spam or unsolicited messages. These Terms, the Privacy Policy, and any written quote or order acknowledgment issued by Coyote Traffic are the entire agreement between you and Coyote Traffic regarding their subject matter.
